make cross -> as: unrecognized option `-mc68020'

No. This is supposed to be the native assembler (here:
i386-pc-cygwin).

I am not sure what you are trying to say. 

PREFIX/bin/m68k-rtems-as and PREFIX/m68k-rtems/bin/as are supposed
to be the cross-assemblers.

I presume, you might have PREFIX/m68k-rtems/bin in $PATH. 

You should have the directory in $PATH which contains m68k-rtems-as.
